Andreea R\u0103dulescu, notar public, a explicat, \u00een cadrul edi\u0163iei din octombrie a Clubului Profesioni\u015ftilor \u00een Imobiliare (CPI), principalele modific\u0103ri legislative aduse \u00een acest domeniu. Noua lege ofer\u0103 o libertate contractual\u0103 mult mai mare celor dou\u0103 p\u0103r\u0163i, pun\u00e2ndu-se un accent deosebit pe negociere, a spus Andreea R\u0103dulescu. Totodat\u0103 \u00eens\u0103, aceast\u0103 libertate este contrabalansat\u0103 de o mai mare putere acordat\u0103 instan\u0163elor judec\u0103tore\u015fti de a interveni pentru a rezolva situa\u0163iile conflictuale dintre semnatarii unui act \u00eencheiat \u00een form\u0103 autentic\u0103 (autentificat de un notar).<\/p>\n<p>\u00cen procesul de achizi\u0163ie a unei locuin\u0163e, fie ea <a class=\"article-body-links\"href=\"https:\/\/www.imobiliare.ro\/vanzare-case-vile-bucuresti-2350036\">cas\u0103<\/a> sau <a class=\"article-body-links\"href=\"https:\/\/www.imobiliare.ro\/vanzare-apartamente-bucuresti-2349706\">apartament<\/a>, doi pa\u015fi sunt esen\u0163iali pentru \u00eencheierea unei tranzac\u0163ii de succes:<\/p>\n<p><a class=\"article-body-links\"href=\"https:\/\/www.imobiliare.ro\/apartamente\/de-aproape-o-luna-functioneaza-un-nou-cod-civil-ce-trebuie-sa-stii-antecontractul-si-contractul-de-vanzare_db\/semnarecontract-2\/\" rel=\"attachment wp-att-15648\"><img loading=\"lazy\" decoding=\"async\" src=\"https:\/\/info.imobiliare.ro\/wp-content\/uploads\/2011\/10\/semnarecontract-300x200.jpg\" alt=\"\" title=\"semnarecontract\" width=\"300\" height=\"200\" class=\"alignleft size-medium wp-image-15648\" \/><\/a><\/p>\n<h2><span class=\"ez-toc-section\" id=\"1_Antecontractul_de_vanzare\"><\/span>1. Antecontractul de v\u00e2nzare:<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>Acest act reprezint\u0103, de fapt, o promisiune de cump\u0103rare, pe de o parte, \u015fi una de v\u00e2nzare, pe de alta. Trebuie s\u0103 includ\u0103, \u00een mod obligatoriu, un termen p\u00e2n\u0103 la care se va \u00eencheia tranzac\u0163ia. Poate prevede plata unei sume de bani, ca avans, sau nu. <\/p>\n<p>Noua lege recomand\u0103 \u00eenscrierea antecontractelor \u00een Cartea Funciar\u0103, dar nu oblig\u0103 \u00een acest sens. Pentru asta, un astfel de act trebuie s\u0103 \u00eendeplineasc\u0103 dou\u0103 condi\u0163ii: s\u0103 fie \u00eencheiat \u00een form\u0103 autentic\u0103 (legalizat de un notar) \u015fi s\u0103 includ\u0103 un termen de \u00eencheiere a tranzac\u0163iei. Dac\u0103 aceste condi\u0163ii sunt \u00eendeplinite, oricare dintre cele dou\u0103 p\u0103r\u0163i poate \u00eenscrie documentul \u00een Cartea Funciar\u0103. <\/p>\n<p>\u00cen cazul \u00een care v\u00e2nz\u0103torul nu mai vrea s\u0103 \u00eenstr\u0103ineze proprietatea, iar antecontractul a fost \u00eenscris \u00een Cartea Funciar\u0103, avansul pl\u0103tit de cump\u0103r\u0103tor se constituie ca o ipotec\u0103 legal\u0103 \u00een favoarea sa (are dreptul de a urm\u0103ri sau executa silit bunul pentru a-\u015fi recupera suma pl\u0103tit\u0103). Spre deosebire de prevederile vechiului Cod Civil, un antecontract r\u0103m\u00e2ne \u00eenscris \u00een Cartea Funciar\u0103 timp de \u015fase luni (fa\u0163\u0103 de trei ani) de la expirarea termenului stabilit de cele dou\u0103 p\u0103r\u0163i (timp \u00een care cump\u0103r\u0103torul sau v\u00e2nz\u0103torul se pot adresa instan\u0163ei pentru nerespectarea clauzelor contractuale de c\u0103tre cealalt\u0103 parte); dup\u0103 un interval de \u015fase luni, acest act poate fi radiat.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"2_Contractul_de_vanzare_care_nu_se_mai_numeste_de_vanzare-cumparare\"><\/span>2. Contractul de v\u00e2nzare (care nu se mai nume\u015fte de v\u00e2nzare-cump\u0103rare):<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>La \u00eencheierea unui astfel de document se vede \u00een mod deosebit libertatea de negociere acordat\u0103 celor dou\u0103 p\u0103r\u0163i. Vechiul sistem, \u00een care tranzac\u0163iile imobiliare erau \u00eencheiate pe baza unor contracte-tip, predefinite, a apus, spune R\u0103dulescu. Acum, practic, orice clauz\u0103 (cu respectarea legii \u00een vigoare) poate fi negociat\u0103 \u015fi inclus\u0103 \u00een documentul de v\u00e2nzare, cu precizarea c\u0103 fiecare dintre acestea trebuie acceptat\u0103 \u00een mod expres de cele dou\u0103 p\u0103r\u0163i (trebuie s\u0103 semneze pentru fiecare dintre ele). \u00cen cazul \u00een care clauzele standard intr\u0103 \u00een contradic\u0163ie cu cele negociate, cele din urm\u0103 primeaz\u0103. <\/p>\n<h2><span class=\"ez-toc-section\" id=\"De_ce_acte_ai_nevoie_pentru_incheierea_unui_contract_de_vanzare\"><\/span>De ce acte ai nevoie pentru \u00eencheierea unui contract de v\u00e2nzare:<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>&#8211; actele de identitate ale p\u0103r\u0163ilor;<br \/>\n&#8211; certificatele de c\u0103s\u0103torie;<br \/>\n&#8211; eventualele conven\u0163ii matrimoniale \u00eencheiate de p\u0103rti;<br \/>\n&#8211; actele de proprietate;<br \/>\n&#8211; documenta\u0163ia cadastral\u0103 a imobilului (care acum a devenit obligatorie);<br \/>\n&#8211; \u00eencheierea de intabulare a imobilului;<br \/>\n&#8211; certificatul de atestare fiscal\u0103;<br \/>\n&#8211; adeverin\u0163a de la asocia\u0163ia de proprietari, dac\u0103 locuin\u0163a face parte dintr-un imobil \u00een care o astfel de asocia\u0163ie a fost \u00eenfiin\u0163at\u0103;<br \/>\n&#8211; ultimele facturi de la furnizorii de utilit\u0103\u0163i \u015fi chitan\u0163ele care atest\u0103 achitarea integral\u0103 a acestora (dac\u0103 clientul cump\u0103r\u0103tor \u015ftie de existen\u0163a unor datorii \u015fi este dispus s\u0103 le achite el \u00eensu\u015fi dup\u0103 achizi\u0163ie, acest lucru trebuie precizat printr-o clauz\u0103 clar\u0103 \u00een contract);<br \/>\n&#8211; orice acte sunt de\u0163inute de c\u0103tre v\u00e2nz\u0103tor din istoricul propriet\u0103\u0163ii (acestea nu sunt obligatorii, potrivit legii, dar sunt recomandate);<br \/>\n&#8211; certificatul de performan\u0163\u0103 energetic\u0103 al imobilului, cu excep\u0163ia cazului \u00een care cele dou\u0103 p\u0103r\u0163i au convenit s\u0103 \u00eencheie tranzac\u0163ia \u00een lipsa acestuia (fapt care trebuie precizat \u00een contract);<br \/>\n&#8211; eventuale procuri \u00een baza c\u0103rora p\u0103r\u0163ile vor fi reprezentate la semnare de mandatari.<\/p>\n<p>Andreea R\u0103dulescu precizeaz\u0103 c\u0103, spre deosebire de prevederile vechiului Cod Civil, \u00een cazul \u00een care un contract este afectat de o cauz\u0103 de nulitate (cum ar fi neincluderea chitan\u0163elor de plat\u0103 c\u0103tre furnizorii de utilit\u0103\u0163i sau a certificatului de atestare fiscal\u0103), cele dou\u0103 p\u0103r\u0163i nu mai trebuie s\u0103 se adreseze unei instan\u0163e pentru constatarea nulit\u0103\u0163ii respectivului document.
